Sustainability and Governance: The Integration of ESG Clauses into Corporate Bylaws and Contracts

The research aims to explore the legal concept of sustainability, analyzing its compatibility with ESG clauses within company bylaws and contracts. The study seeks to outline the meaning of “sustainability” in law, with particular attention to its qualification as a general clause. In this context, the inclusion of ESG clauses in company bylaws will be examined, assessing their impact on governance, business strategies, and directors’ duties. At the same time, it will delve into the role of ESG clauses in contracts, focusing on the legal and operational implications of their adoption. The goal is to identify the main intersections between law and sustainability, highlighting the interpretative and practical challenges that arise.
